1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Uninova Trade Pvt. Ltd. ("Uninova Trade," "Company," "we," "us," or "our") governing your use of our freight forwarding, customs clearance, and related logistics services.

By engaging our services or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services

2.1 Scope of Services

Uninova Trade provides the following services subject to these Terms:

• Freight forwarding (ocean, air, and road)
• Customs clearance and CHA services
• Trade documentation and compliance
• Cargo handling and coordination
• Related logistics services

2.2 Service Limitations

We act as an intermediary and agent in coordinating logistics services. While we exercise due diligence in selecting carriers and service providers, we are not liable for acts, omissions, or defaults of third parties involved in the transportation and handling of your cargo.

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information about your shipments
• Furnish all necessary documents for customs clearance in a timely manner
• Comply with all applicable import/export laws and regulations
• Ensure proper packaging and labeling of goods as per requirements
• Declare the true nature, quantity, and value of goods being shipped
• Not ship prohibited or restricted goods without proper authorization
• Pay all charges and duties in a timely manner as agreed

4. Customs Clearance

4.1 Documentation

You are responsible for providing accurate documentation including but not limited to commercial invoices, packing lists, certificates of origin, and any other documents required by customs authorities.

4.2 Customs Duties and Taxes

All customs duties, taxes, and government fees are payable by you. We may advance these amounts on your behalf, which shall be reimbursable along with any applicable service charges.

4.3 Customs Examination

Customs authorities may examine shipments at their discretion. Any delays or charges arising from customs examination are not the responsibility of Uninova Trade.

5. Pricing and Payment

5.1 Quotations

All quotations are valid for the period specified and are subject to change based on carrier rates, exchange rates, and other factors. Final charges may vary based on actual cargo dimensions, weight, and services rendered.

5.2 Payment Terms

Payment terms will be specified in our quotation or service agreement. Unless otherwise agreed, payments are due within the specified credit period from the invoice date. Late payments may attract interest charges.

5.3 Lien on Goods

We reserve the right to retain possession of goods until all outstanding charges, including freight, duties, and service fees are paid in full.

6. Liability

6.1 Limitation of Liability

Our liability for loss, damage, or delay to cargo is limited to the extent provided under applicable carrier terms and conventions. Unless otherwise agreed in writing, our liability shall not exceed the invoice value of the goods or the limits prescribed by applicable law, whichever is lower.

6.2 Exclusions

We shall not be liable for any loss, damage, delay, or non-delivery caused by:

• Acts of God, natural disasters, or force majeure events
• War, terrorism, civil unrest, or government actions
• Insufficient or improper packaging by the client
• Inherent defects or nature of the goods
• Client's failure to provide accurate information or documents
• Acts or omissions of customs or other government authorities
• Strikes, lockouts, or labor disputes

6.3 Insurance

We recommend that clients obtain appropriate cargo insurance. We can arrange insurance on your behalf upon request, subject to applicable terms and premiums.

7. Claims

Any claims for loss, damage, or shortage must be notified in writing within 7 days of delivery. Claims not notified within this period may be deemed waived. All claims must be supported by relevant documentation.

8. Confidentiality

Both parties agree to keep confidential all proprietary and business information disclosed during the course of our business relationship, except as required by law or regulatory authorities.

9. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Uninova Trade and is protected by intellectual property laws. You may not reproduce, distribute, or use our content without prior written permission.

10. Termination

Either party may terminate the service relationship with reasonable notice. Termination does not affect obligations for services already rendered or shipments in transit. All outstanding payments remain due upon termination.

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good faith negotiations. If unresolved, disputes shall be referred to arbitration in Mumbai, Maharashtra, under the Arbitration and Conciliation Act, 1996.

12. Governing Law

These Terms are governed by the laws of India. The courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any matters arising from these Terms.

13. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services after any modifications constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
